Abstrak: Increasing standards of living impact in changing municipal waste management_ Population growth has increased causing waste generation to increase too. The business environment is changing as well as economic, socio culture, politics, regulations, technology and competitor makes companies have to take the best step to overcome any changing that will be happened to achieved the goal.Municipal waste companies like PD Kebersihan Bandung is also getting ready to take a step in any changing of business environment. Autonomy act 22/1999 demands that all locally owned companies ready to implement this act. To implement this act, The government plans to change act 5/1962 about the local owned enterprise because it is obstacle and do not along with the autonomy act. This bill describe that the institution in local owned enterprise will be changed into local public corporation (PERUMDA), Local Public/ State Company ( PERSERODA), or Limited Company (PT).The aim of this research is to find out if municipal waste company (PD. Kebersihan) can implement the autonomy act especially in changing the institution form. Institution form that is appropriate to municipal waste company is divided into two points of view internal and externaI's company. In addition, dominant stakeholders like employees, and customers will be also the main point of view.Municipal waste company in Bandung (PD Kebersihan ) has difficulties not only in financial and organization but also in achieving customer expectation and satisfaction. This situation makes the municipal waste company in difficult position to hold out. Defensive strategies are not enough so the company needs better strategies for example liquidation. Liquidation makes new opportunities to build new institution that will bring better performance.
